Agreement to terms

By accessing or using DeliveryPortal, you agree to these Terms of Service. If you use the service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Description of service

DeliveryPortal is a client portal platform for project delivery. You create projects, add deliverables, credentials, scope, and support information, and share portals with clients via links. We may modify or discontinue features with reasonable notice.

Accounts and organizations

You are responsible for maintaining the security of your account and for all activity under it. Each organization is a separate billing and permission unit.

Portal access by clients

Clients access project portals via share links without creating accounts. You (the account holder) are responsible for the content you make available through portals, including any credentials, files, or information shared with your clients.

Acceptable use

You may not use the service for any illegal purpose, harassment, abuse, scraping, reverse engineering, or to circumvent plan limits. You may not upload malware or content that infringes others' rights. We may suspend or terminate accounts that violate these terms.

Subscription and billing

The Free plan includes 1 project and up to 2 organization members. The Pro plan includes unlimited projects and up to 25 members. Billing is handled through Clerk (powered by Stripe). Subscription terms, renewal, cancellation, and refunds are governed by the billing provider's terms. We may change pricing with at least 30 days' notice.

Free plan limitations

Free accounts are limited to 1 project in total, including previously created and deleted projects. This limit is tracked and cannot be reset by deleting projects.

Credential sharing disclaimer

DeliveryPortal allows you to store and share credentials (logins, API keys, etc.) through project portals. You are solely responsible for the credentials you enter and share. We disclaim all liability for unauthorized access to or misuse of credentials shared through the service.

Your content and data ownership

You retain ownership of all content you create or upload. You grant us a limited license to host, store, display, and transmit your content solely to operate the service. We do not claim ownership of your projects, files, or data.

Intellectual property

The DeliveryPortal service, branding, user interface, and code are our property. You may not copy, modify, or create derivative works of the service.

Disclaimer of warranties

The service is provided "as is" and "as available." We make no warranties regarding uptime, accuracy, or fitness for a particular purpose.

Limitation of liability

Our total liability to you is limited to the fees you paid to us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

Indemnification

You agree to indemnify and hold us harmless from claims arising from your content, your use of the service, or your breach of these terms.

Termination

We may suspend or terminate your account for breach of these terms or at our discretion. You may close your account at any time. On termination, your data will be deleted after a reasonable period.

Changes to terms

We may update these terms from time to time. Continued use after changes constitutes acceptance. Material changes will be communicated with at least 30 days' notice.

Severability and general

If any provision of these terms is found to be unenforceable, the remaining provisions remain in effect. These terms constitute the entire agreement between you and us regarding the service.
